## **Overview**

This Rewards Program Agreement (“Rewards Agreement”) is entered into by and between Affiniti Finance, Inc. (“we” or “program manager”) and the Company (“you”, and “your”).  This Rewards Agreement governs the earning of rewards through your usage of an Affiniti Card Product (as defined in the Program Manager’s Terms of Use which can be accessed at affiniti.com/legal). For full terms and conditions on the use of your Affiniti Card Product, please also review your Cardholder Agreement, which can be accessed at [affiniti.com/legal](https://affiniti.com/legal). All capitalized terms used in this Rewards Agreement and not otherwise defined shall have the meaning as set forth in the applicable Cardholder Agreement.

You may be able to earn rewards on your Eligible purchases when you purchase goods/services within certain spend categories, or on all your purchases, as specified herein. “Eligible Purchases” for rewards include purchases of goods and services and recurring transactions minus any declined transactions, disputes, chargebacks, credits, or returns. Eligible Purchases do not include fees or interest charges, balance transfers, cash advances, purchases of traveler’s checks, purchases or reloading of prepaid cards, or purchases of other cash equivalents.

Rewards have no cash value, are not your property, and may be revoked, forfeited, or cancelled at any time for any reason, including account closure, inactivity, or suspected abuse. Rewards earned under the Reward Agreement pursuant to Eligible Purchases are not your property, not transferrable or assignable.

## **Redemption**

Rewards may also be referred to as “cash back” or “reward points”. Please keep in mind that rewards will be structured in the form of reward points credited to the Account, which can be redeemed for Billing Statement credits.

Upon your request to the Program Manager, and in the Program Manager’s sole discretion, you may also receive Rewards in the form of a check instead of Billing Statement credits. The Program Manager is not responsible for the disposition of reward checks by you.

The conversion of reward points to credit redemption value or check value, and vice versa, is that 100 reward points equates to $1.

## **Rewards Validity**

We reserve the right to automatically revoke any reward points three hundred sixty-five (365) days after they have been added to your Account if unused. We have the right to revoke all reward points on your account (pending & available) if you (a) are delinquent on your minimum payment due or (b) do not make at least 1 Eligible Purchase on your account for sixty (60) consecutive days. If within any 3 consecutive calendar month period, you do not, on average between the 3 months, spend at least 30% of your average assigned credit limit each month, we have the right to revoke the rewards you earned on your Account for those 3 months.

To redeem your reward points, you must have paid the full statement balance, including any outstanding fees or charges, before the Payment Due Date for the Billing Statement where your Eligible Purchases have earned reward points. Additionally, your Account must be active in Good Standing (as defined in the Cardholder Agreement). If you meet all those requirements, you will be qualified to earn and redeem your reward points as Billing Statement credits at your discretion. These reward points, when redeemed, will be applied to your next Billing Statement. You will always need to pay your entire Minimum Payment Due as shown on your Billing Statement, regardless of your redemption of rewards.

If we, in our sole discretion, determine that you have engaged in abuse, misuse, or gaming in connection with our rewards in any way, or that you intend to do so, we may:

- Not credit rewards,
- Freeze rewards credited,
- Remove previously credited rewards from your account, or
- Close this Account and other Accounts you may have with us.

## **Sign Up Bonus**

If you make $30,000 of Eligible Purchases within the first 3 months of being approved for your Account (as defined in the Cardholder Agreement), you will receive a 50,000 reward points bonus. If you make $75,000 of Eligible Purchases within the first 3 months of being approved for your Account, you will receive a 70,000 reward points bonus. If you make $125,000 of Eligible Purchases within the first 3 months of being approved for your Account, you will receive a 125,000 reward points bonus (any of the aforementioned bonuses, the “Standard Sign-Up Bonus”). One Standard Sign-Up Bonus can be earned for each individual who applies for an Account, regardless of how many Accounts such an individual opens. We reserve the right, in our sole discretion, to increase or decrease the value of any bonus or amount of Eligible Purchases required to earn a bonus.

In our sole discretion, we may occasionally offer sign-up bonuses in addition to the Standard Sign-Up Bonus, which are issued based on you making sufficient eligible purchases after being approved for your Account (“Supplemental Sign-Up Bonus”). There is no guarantee that we offer you a Supplemental Sign-Up Bonus, and the terms and timing of any Supplemental Sign-Up Bonus offered are subject to the Program Manager’s sole discretion.

## **Cash Back**

You will earn 1% unlimited cash back rewards on all of your Eligible Purchases. If you have set up weekly autopay, you will earn 2.1% unlimited cash back rewards on all Eligible Purchases. If you have set up semi-monthly autopay, you will earn 1.75% unlimited cash back rewards on all Eligible Purchases. If you have set up autopay to occur one business day after you receive your Billing Statement (defined in the Cardholder Agreement) (“Billing Statement Autopay”), you will earn 1.25% unlimited cash back rewards. Only one of the aforementioned cash back reward rates will apply to your Account at any time. The cash back earning rates described may be updated at any time or be adjusted for individual Accounts at the Program Manager’s sole discretion. Not all autopay options may be available at all times and the Program Manager may enable or disable such options.

Note that to earn the applicable cashback rates, Eligible Purchases must have been made during a period for which the respective autopay setting was enabled. For example, to earn 2.1% cashback, weekly autopay must have been enabled during the week that the Eligible Purchase was made and the balance incurred for the Eligible Purchase must have been paid pursuant to a weekly payment. The same concept applies for each type of autopay.

Codes are assigned to merchants based on the products they sell most frequently. We classify your purchases for rewards eligibility based on the specific merchant code. If a merchant’s code is not available, a purchase made with that merchant will not be eligible. If we receive incorrect information or are unable to recognize your purchase, you may not be eligible for rewards. We have the sole right to determine which spend category your purchase falls within. You are responsible for letting us know if you do not receive rewards for an Eligible Purchase.

Your Card may be eligible for additional benefits and rewards not described in this Reward Agreement (“Additional Benefits”), such as the Mastercard’s [Easy Savings Program](https://www.priceless.com/easy-savings?ac=easysavings#!/home) and those applicable to [Mastercard World Elite](https://cdn.prod.website-files.com/68547a934b7cec08b4df91c1/68826b95d1871f32e9b7cde4_2025%20Mastercard%20SMB%20World%20Elite%20Benefits%20(1).pdf) cardholders. For information about or to use certain Additional Benefits, you must reach out to the Program Manager by emailing [support@affiniti.com](mailto:support@affiniti.com) to opt-in. Please note terms and conditions apply to Additional Benefits and certain Additional Benefits may only be available at the discretion of the Program Manager.

## **Program Manager Solely Responsible:**

The Program Manager is solely responsible for the administration of the rewards program described herein and the payment of all amounts or benefits due under this section. The Bank is not a party to this Rewards Agreement and this Rewards Agreement does not affect, modify, or amend any terms and conditions, including the Cardholder Agreement, or any other agreement you have with the Bank. You agree to look exclusively to the Program Manager in the event of any dispute arising out of or relating to the Rewards Agreement or amounts paid or payable to you hereunder. We may condition, restrict, limit or revoke rewards earned at our sole discretion (including if your Account is in default pursuant to the Cardholder Agreement).

We reserve the right to withhold, reverse, or adjust any rewards credited if we determine such rewards were granted in error, obtained through fraud, or based on inaccurate merchant reporting. We may suspend or terminate your participation in the rewards program at any time, without notice, if required for compliance with applicable law, regulatory guidance, or Program Manager risk policies.

## **Miscellaneous Provisions:**

**Default:** If you default or are not in Good Standing under the terms of the Cardholder Agreement or are late on payments, you may lose all earned rewards under this Agreement and the ability to redeem any rewards.

**Severability:** Whenever possible, each portion of this Agreement will be interpreted in a manner to be effective and valid under applicable law, but if any portion is held to be prohibited or invalid, such portion will be deemed restated to reflect the original intentions of the parties and the remaining portions will be enforced as if this Agreement was entered into without the invalid portion.

**Assignment:** You may not assign this Agreement without the express prior written consent of the Program Manager. The Program Manager may assign this Agreement and its obligations at its sole discretion without further notice.

**Changes to this Agreement:** We may change the terms from time to time, which may include adding, modifying or deleting terms. Changes will take effect immediately, unless they reduce your rights or increase your responsibilities (“Material Changes”). For Material Changes, we will provide you with twenty-one (21) business days’ advance notice by email, or by posting changes on our website. After this notice period you will be subject to the changed terms unless you stop participating in the Rewards Program. Changes to reward earning or redemption rates are not considered Material Changes.

**Waiver:** No delay or omission by either party to exercise any right or power will impair such right or power or be construed as a waiver. A waiver by either party of any obligations or breach will not be construed as a waiver of any succeeding breach or other obligations herein contained.

**Governing Law and Venue:** The dispute resolution provisions of the Program Manager’s Terms of Use will govern any disputes arising out of the Rewards Agreement. This Agreement is governed by the laws of the State of New York without regard to conflict of law principles.

**Remedies:** Your sole and exclusive remedy for any dispute relating to the Rewards Agreement shall be the crediting or re-crediting of reward points, as determined at our discretion. In no event shall we be liable for consequential, indirect, or punitive damages arising from or relating to the Rewards Agreement.
